Schneider Electric to Acquire PTC for $22.6 Billion in Major Industrial Software Deal

Schneider Electric has announced a major move into industrial software with its agreement to acquire US-based PTC for approximately $22.6 billion in equity value. Under the deal, Schneider Electric will pay $205 per PTC share, representing a premium of around 42% over PTC’s previous closing price. The transaction gives the deal an implied enterprise value of approximately $23.7 billion.
PTC develops software used for product design, engineering, manufacturing and product lifecycle management, including technologies such as digital twins and industrial data management. Schneider Electric says combining these capabilities with its energy-management and industrial-automation portfolio could create a more integrated platform for companies building and operating complex industrial systems.
The acquisition also reflects the growing importance of AI-powered industrial software. As factories become more connected, companies are increasingly using digital twins, automation, data analytics and AI to improve production, monitor equipment and reduce energy consumption.
The transaction has already been approved by the boards of both companies. However, it still requires approval from PTC shareholders and regulatory authorities. Schneider Electric expects the acquisition to close by Q3 2027, subject to customary conditions.
The deal marks one of Schneider Electric’s biggest technology acquisitions and further expands its strategy of combining energy infrastructure, industrial automation, software and AI.
